By accessing or using BatesFlow (the “Service”), operated by SKL LLC (“Company,” “we,” “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. If you are using the Service on behalf of a law firm or organization, you represent that you have authority to bind that entity to these terms.
2. Description of Service
BatesFlow is a document production automation platform designed for legal professionals. The Service allows users to upload discovery demands and case documents, classify documents using AI, apply Bates stamps, and generate production-ready outputs including stamped PDFs, Rider documents, and Bates indices.
3. User Accounts
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these terms.
4. Your Data and Content
You retain all ownership rights to documents, data, and content you upload to BatesFlow (“Your Content”). By uploading content, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. We do not claim any ownership interest in Your Content.
You are solely responsible for ensuring you have the legal right to upload and process the documents you submit. You represent that processing Your Content through BatesFlow does not violate any applicable law, regulation, or third-party rights.
5. AI-Assisted Processing
BatesFlow uses artificial intelligence to assist with document classification, OCR, and demand parsing. While we strive for accuracy, AI-generated classifications and outputs should be reviewed by qualified legal professionals before use. BatesFlow does not provide legal advice. The Service is a document processing tool, and all legal judgments remain the responsibility of the attorney.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Upload malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to any part of the Service.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
- Share your account credentials with unauthorized individuals.
- Use the Service in a manner that could damage, disable, or impair its operation.
7. Payment and Billing
Paid features of the Service are billed according to the pricing plan you select. All fees are stated in U.S. dollars. You authorize us to charge your designated payment method for applicable fees. Fees are non-refundable except as expressly stated or required by law.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Indemnification
You agree to indemnify and hold harmless SKL LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for thirty (30) days following termination, after which it may be permanently deleted.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
